1. Acceptance of Terms

By accessing or using Visibli's services, you agree to be bound by these Terms of Use. If you disagree with any part of these terms, you may not access our service. For enterprise customers, these terms may be superseded by a signed Master Service Agreement (MSA). Authorized users accept terms on behalf of their organization.

2. Description of Service

Visibli provides AI-driven analysis and insights to visualize team performance and productivity metrics. Our platform integrates with your existing development tools to provide real-time analytics and reporting. Services include support and service level commitments as outlined in your subscription plan or MSA.

3. User Accounts and Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring your use complies with applicable laws and regulations
  • Providing accurate and up-to-date information

Enterprise accounts include administrative controls for user management. Admins are responsible for user compliance with these terms.

4. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose or in violation of these terms
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the service or servers
  • Reverse engineer, decompile, or disassemble our software
  • Use automated systems to access the service without permission
  • Share service outputs with third parties for competitive purposes without prior written consent

5. Data and Privacy

Your use of our service is also governed by our Privacy Policy. We collect and process data as described in that document to provide and improve our services. Visibli complies with applicable data protection laws (e.g., GDPR, CCPA) and maintains industry-standard security measures (e.g., SOC 2). You retain ownership of your data; we process it solely to provide services.

6. Payment Terms

For paid services:

  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless otherwise stated
  • We reserve the right to change pricing with 30 days' notice
  • Failure to pay may result in service suspension or termination
  • Enterprise customers may be invoiced per their MSA
  • Late payments incur a 1.5% monthly interest
  • You are responsible for applicable taxes

7. Intellectual Property

The service and its original content, features, and functionality are owned by Visibli and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You own all data and outputs generated from your use of the service, subject to our underlying IP rights in the platform.

8. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. We may suspend the service for maintenance, updates, or other operational needs with reasonable notice when possible. Service uptime and performance are governed by the SLA in your subscription plan or MSA.

9. Limitation of Liability

To the maximum extent permitted by law, Visibli shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption. Total liability is limited to the fees paid in the prior 12 months, unless otherwise agreed in an MSA.

10. Termination

We may terminate or suspend your account immediately if you breach these terms. Upon termination, your right to use the service ceases immediately. We provide 30 days' notice for non-breach terminations. Upon termination, you may request data export within 30 days.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through our service. Continued use after changes constitutes acceptance of the new terms. Significant changes require 60 days' notice for enterprise customers.

12. Governing Law

These terms are governed by and construed in accordance with the laws of Delaware, USA, without regard to conflict of law principles. Disputes are subject to exclusive jurisdiction of the courts of Delaware.

13. Indemnification

You agree to indemnify and hold harmless Visibli from any claims arising from your use of the service or violation of these terms. Visibli will indemnify you against third-party claims that our service infringes valid intellectual property rights, subject to limitations in your MSA.

14. Force Majeure

Neither party shall be liable for any failure or delay in performance due to events beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, or internet service interruptions.

15. Audit Rights

Visibli may audit your compliance with these terms upon reasonable notice. You agree to cooperate with such audits and provide necessary documentation. Audits will be conducted during business hours and will not unreasonably interfere with your operations.

16. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the use of our service. This includes but is not limited to technical data, business information, and customer data. Confidentiality obligations survive termination of these terms.
